By accessing or using CGL Webworks services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not use our services.
CGL Webworks provides web design, development, hosting, maintenance, and technical consulting services. Our service packages include:
A one-time setup fee is due before project commencement. This covers initial design, development, content migration, and website launch.
Monthly maintenance fees are billed in advance on the first day of each month. Payment is due within 5 business days of invoice date.
Accounts not paid within 10 days of the due date may result in service suspension. A late fee of $25 may be applied to overdue accounts.
We accept credit cards, debit cards, and electronic bank transfers.
Monthly services operate on a month-to-month basis. No long-term contract is required.
You may cancel your monthly service at any time by providing 30 days written notice. You will be responsible for payment through the end of the 30-day notice period.
We reserve the right to terminate services with 30 days notice if terms are violated or for non-payment.
Setup fees are non-refundable after work has commenced. Monthly fees are refundable on a pro-rata basis if service is cancelled mid-month due to our failure to provide service.
You are responsible for:
Upon full payment of the setup fee, you own the content and design of your website. However, the underlying code, frameworks, and templates remain the property of CGL Webworks or their respective licensors.
You grant us a license to use, modify, and display your content solely for the purpose of providing our services.
We may use screenshots and descriptions of your website in our portfolio and marketing materials unless you specifically request otherwise in writing.
Monthly maintenance includes content updates, security patches, and technical support. Major redesigns or additional pages beyond the original scope may incur additional fees.
We aim to complete most content updates within 2 business days. Complex requests may take longer and will be communicated accordingly.
While we guarantee 99.9% uptime, we are not liable for downtime caused by factors outside our control (e.g., third-party service failures, natural disasters, cyber attacks).
We warrant that our services will be performed in a professional and workmanlike manner. However, we make no guarantees regarding specific business results, search engine rankings, or traffic increases.
Services are provided "as is" without warranty of any kind, express or implied. We disclaim all warranties including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, CGL Webworks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.
Our total liability for any claim arising from our services shall not exceed the total amount paid by you to CGL Webworks in the 12 months preceding the claim.
You agree to indemnify and hold CGL Webworks harmless from any claims, damages, or expenses arising from your use of our services, your website content, or your violation of these terms.
We reserve the right to modify these terms at any time. We will notify you of significant changes via email. Continued use of our services after changes constitute acceptance of the modified terms.
These terms are governed by the laws of Ontario, Canada. Any disputes shall be resolved in the courts of Ontario.
